Terms and Conditions of Service

PLEASE READ THESE TERMS AND CONDITIONS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE SIMULQ SERVICE. BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

PART I: PARTIES AND SCOPE

1.1 Parties. These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between Alpin Management Partners Ltd Co, a Texas limited liability company doing business as SimulQ ("AMPL," "we," "us," or "our"), and the individual accessing or using the SimulQ service ("you" or "User"). These Terms govern all access to and use of the SimulQ platform, software, content, and related services (collectively, the "Service").

1.2 Acceptance. By creating an account, clicking "I Agree," "Subscribe," or any equivalent affirmative action, or by otherwise accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms and AMPL's Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service.

1.3 Individual Use Only. The Service is offered exclusively to individual users for personal, non-commercial use. No organizational, entity, corporate, group, or multi-seat accounts are available or permitted. Each subscription authorizes access by one named individual only. Sharing credentials, account access, or subscription benefits with any other person is prohibited.

1.4 Age Requirements and Strict Eligibility. By creating an account, subscribing, or using the Service, you represent, warrant, and covenant that you are at least eighteen (18) years of age or older and possess the legal capacity to form a binding contract. The Service is intended exclusively for adults. No person under the age of eighteen (18) may access, browse, register for, or use the Service under any circumstances, and no parental consent exceptions apply.

If AMPL discovers or has reasonable grounds to suspect that a person under eighteen (18) has accessed the Service or bypasses our eligibility controls, AMPL will immediately suspend or terminate the account, restrict access, and permanently delete all associated account information within five (5) business days of discovery.

PART II: THE SERVICE

2.1 Description. AMPL provides an AI-assisted learning and query platform under the SimulQ brand. The features, functionality, and content of the Service may be updated, modified, or supplemented from time to time at AMPL's sole discretion.

2.2 License Grant. Subject to your compliance with these Terms, AMPL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes during the term of your active subscription. No title to or ownership of any portion of the Service is transferred to you. All rights not expressly granted are reserved by AMPL and its licensors.

2.3 Restrictions. You may not: (a) sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service or your access to it; (b) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Service or any component thereof; (c) use the Service to transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content; (d) use the Service in any manner that violates applicable federal, state, or local law; (e) use automated systems, bots, scrapers, spiders, or other non-human agents to access the Service without AMPL's prior written consent; (f) attempt to gain unauthorized access to any portion of the Service or its related systems or networks; (g) upload, transmit, or distribute any virus, worm, logic bomb, Trojan horse, or other malicious or technologically harmful code through or in connection with the Service; (h) interfere with or disrupt the integrity, security, or performance of the Service or servers or networks connected to the Service; or (i) probe, scan, or test the vulnerability of any system or network related to the Service without AMPL's express prior written authorization.

2.4 Service Availability. AMPL will use commercially reasonable efforts to maintain the availability of the Service. AMPL does not warrant uninterrupted or error-free operation. Scheduled maintenance, emergency repairs, and circumstances beyond AMPL's reasonable control may result in temporary unavailability. You are solely responsible for procuring, maintaining, and securing all internet access, hardware, software, devices, and telecommunications services necessary to access the web-delivered Service, at your own cost and expense.

2.5 Modifications to the Service. AMPL reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable. AMPL will not be liable to you for any modification, suspension, or discontinuance of the Service.

2.6 Service Support. AMPL will make reasonable efforts to provide end-user support during published support hours via email at support@simulq.ai. Support is limited to assistance with technical issues related to the Service, account access, and Service usage questions. Support availability and current hours are set out on the SimulQ website. AMPL does not provide individualized customization, professional consulting, or advisory services through the support channel.

2.7 Suspension for Security or Legal Reasons. AMPL may suspend or restrict your access to the Service, in whole or in part, without prior notice if AMPL determines in its reasonable judgment that: (a) such action is necessary to comply with applicable law, regulation, or an order of a competent authority; (b) an actual or reasonably suspected security incident affecting the Service or user data requires immediate containment; or (c) your access poses a risk of harm to the Service, other users, or any third party. AMPL will provide notice of any such suspension as soon as reasonably practicable after taking such action.

2.8 Experimental and Beta Features. From time to time, AMPL may make available experimental, preview, or beta features of the Service. Such features are provided on an "as is" basis, may be discontinued at any time without notice, and are not subject to the service availability commitments or support obligations set forth in Sections 2.4 and 2.6. Your use of any experimental or beta feature is entirely at your own risk.

2.9 No High-Risk Use. The Service is not designed or intended for use in connection with any inherently dangerous, mission-critical, or high-risk activities, including without limitation the operation of emergency services, medical facilities, life-support or safety systems, nuclear facilities, aircraft navigation or communication systems, or any environment where failure of the Service could reasonably result in personal injury, death, or severe property or environmental damage. You must not use the Service in any such context.

2.10 Third-Party Services and Content. The Service may contain links to or integrations with third-party websites, services, or content not owned or controlled by AMPL. AMPL has no control over and accepts no responsibility for the content, privacy practices, or terms of any third-party service. Your use of any third-party service is governed solely by the terms applicable to that service. AMPL does not endorse any third-party service and disclaims all liability arising from your interaction with third-party services accessed through or in connection with the Service.

2.11 AI Features, Automated Backend Routing, and Input Restrictions. The Service utilizes automated artificial intelligence ("AI") engines to generate informational and learning outputs.

  • Automated Backend Routing: AMPL fully manages all model selection and query distribution across third-party developer API endpoints (including OpenAI, Anthropic, Google, Perplexity, and xAI) via our secure worker infrastructure. Queries are auto-routed dynamically by our backend system; you do not have the option to pick, configure, or override which underlying AI model processes your request.
  • Asynchronous Processing and Polling: When you submit an AI learning query, processing runs asynchronously on our backend infrastructure. Your web browser interface returns immediately, and the client application polls a background job record to retrieve and render the finished round.
  • Strict Data Submission Restrictions: Because your User Content is transmitted through external AI API provider channels, you are strictly prohibited from entering restricted data into the platform. You represent and warrant that you will not submit any User Content that contains: (a) Personally Identifiable Information (PII) or sensitive personal data belonging to any individual; (b) Protected Health Information (PHI) subject to HIPAA or related medical privacy rules; (c) unmasked financial card data or bank credentials; or (d) proprietary source code, trade secrets, or confidential corporate records that you do not hold absolute legal rights to transmit globally. A violation of this section constitutes a material breach and will result in immediate account termination without a refund.

PART III: SUBSCRIPTIONS, BILLING, AND PAYMENT

3.1 Subscription Model. Access to the Service requires an active paid subscription. Subscriptions are offered on a monthly basis only. No annual subscription plan is available.

3.2 Individual Subscriptions Only. Subscriptions are available exclusively to individual users. No organizational, entity, corporate, group, or multi-seat subscriptions are offered or permitted.

3.3 Subscription Price. The current subscription price is eighty-nine dollars ($89.00) per month, plus applicable taxes. AMPL reserves the right to change the subscription price upon advance notice in accordance with Section 3.4.

3.4 Automatic Renewal Disclosure and Billing Cycle. Your subscription to the Service is an individual, personal-use subscription priced at eighty-nine dollars ($89.00) per month. No annual subscription plan, promotional trial tiers, or multi-seat organizational account tiers are available.

  • The Cycle: Your subscription will automatically renew each month on the precise calendar day corresponding to your initial activation date.
  • Automatic Authorization: You hereby authorize AMPL to automatically charge your payment method on file via Stripe for the then-current monthly subscription price plus applicable statutory taxes on each renewal date, unless you cancel your subscription in strict accordance with Section 3.5.
  • Jurisdictional Governance: This disclosure is executed in compliance with the FTC Negative Option Rule (16 C.F.R. Part 425), California Business and Professions Code § 17600 et seq., and New York General Business Law § 527-a. Mandatory local consumer-protection statutes govern exclusively to the extent of an irreconcilable conflict with Texas law.

3.5 Cancellation Procedures and Account Access State. You may cancel your monthly subscription at any time. To execute a cancellation, you must utilize the self-service "Cancel Subscription" toggle inside your authenticated account settings, or transmit an explicit written notice to support@simulq.ai.

  • Operational Deadline: To prevent the automated Stripe billing system from processing the next month's charge, your cancellation must be submitted at least twenty-four (24) hours prior to your scheduled monthly renewal timestamp.
  • Access Retention: Upon successful processing of a cancellation, the cancellation takes effect at the final timestamp of your current monthly billing cycle. You will retain unrestricted access to the Service, including your query history and completed rounds, through the end of that paid billing period.
  • Post-Cancellation Purge Alignment: Following the conclusion of your final billing cycle, your account state will change to "Inactive." Your user profile, query history, and dashboard metrics will then be handled in strict alignment with the 90-day data retention and irreversible anonymization lifecycles detailed in Section 10.2 of the integrated Privacy Policy.

3.6 Payment Method. You authorize AMPL to charge the payment method you provide at enrollment for the monthly subscription fee and any applicable taxes on a recurring basis until you cancel. You are responsible for maintaining a valid payment method on file. If a charge is declined, AMPL may suspend your access to the Service until payment is received.

3.7 Strict "No Refunds" Policy and Exceptions. All subscription payments processed via Stripe are entirely non-refundable, non-transferable, and non-prorated for partial-month usage. AMPL operates an automated backend worker infrastructure that incurs immediate, unrecoverable operational costs from third-party AI API sub-processors upon query execution. Refunds will be evaluated and issued under two narrow exceptions only:

  • (a) Verified Systemic Failure: If a verified, continuous technical failure on AMPL's internal worker infrastructure completely prevents you from accessing the Service or retrieving your background-polling query responses for a material portion of a billing period, and such failure is documented and reported to support@simulq.ai.
  • (b) Mandatory Local Law: If the mandatory consumer-protection laws of your home jurisdiction (such as cooling-off periods or statutory cancellation rights within the European Union, United Kingdom, California, or New York) legally override this contract and dictate a refund entitlement that cannot be waived.

3.7.1 Intake and Resolution Timelines. Any request for a refund under Section 3.7 must be submitted to support@simulq.ai within thirty (30) calendar days of the disputed charge. Refund requests must include your account email, a detailed transaction identifier from Stripe, and technical descriptions of any systemic errors. AMPL will evaluate, process, and issue a formal written determination for all requests within ten (10) business days of receipt.

3.8 Taxes. You are responsible for all applicable taxes assessed on your subscription by any governmental authority. AMPL will collect and remit taxes where required by applicable law.

PART IV: USER CONTENT AND FEEDBACK

4.1 User Content. You may submit, upload, post, or otherwise transmit content through the Service ("User Content"). You retain all ownership rights in your User Content. By submitting User Content, you grant AMPL a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and process your User Content solely to the extent necessary to provide and improve the Service. AMPL does not claim ownership of your User Content.

4.2 Content Standards. You are solely responsible for your User Content and represent that it: (a) does not violate any applicable law; (b) does not infringe the intellectual property rights of any third party; (c) does not contain content that is harmful, abusive, defamatory, obscene, or otherwise objectionable; and (d) is accurate to the best of your knowledge where you represent it as factual.

4.3 AMPL's Rights Regarding User Content. AMPL does not review all User Content prior to posting or submission. AMPL reserves the right to remove or disable access to User Content that AMPL determines, in its reasonable discretion, violates these Terms or applicable law. You may report User Content that you believe violates these Terms or applicable law by contacting AMPL at support@simulq.ai.

4.4 Feedback. If you submit to AMPL any suggestions, ideas, enhancement requests, bug reports, or other feedback regarding the Service ("Feedback"), you hereby assign to AMPL all right, title, and interest in and to such Feedback, including all intellectual property rights and exploitation rights, to the fullest extent permitted by applicable law. AMPL may use Feedback for any purpose without compensation, attribution, restriction, or obligation of confidentiality. You represent that any Feedback you provide does not violate the intellectual property rights of any third party, and that you have the authority to provide it. Nothing in this Section transfers rights in your independent inventions, confidential information, or pre-existing materials except to the extent you have incorporated them into the Feedback itself. The assignment and license in this Section do not affect any rights in materials or inventions developed by you wholly independently of the Service and not disclosed to AMPL as Feedback. Notwithstanding any other provision of these Terms, nothing in this Section limits AMPL's liability for its own Gross Negligence or Willful Misconduct as those terms are defined in Part V.

Where applicable law does not permit the full assignment of moral rights or equivalent creator rights in Feedback, including under United Kingdom intellectual property law (Copyright, Designs and Patents Act 1988) and European Union member state implementations of Directive 2009/24/EC and Directive (EU) 2019/790, you hereby waive such rights to the fullest extent permitted by applicable law and grant AMPL an irrevocable, perpetual, worldwide, royalty-free, fully paid, transferable, and fully sublicensable licence to use, reproduce, modify, adapt, publish, distribute, display, perform, create derivative works from, and otherwise commercialise such Feedback in any form, format, or medium now known or later developed, for any lawful purpose. The enforceability of moral-rights waivers varies by jurisdiction and by the category of right; this clause operates to the maximum extent the applicable law of each jurisdiction permits and no further.

EU/UK Addendum Feedback. For users located in the European Union or the United Kingdom, the assignment in this Section is limited to the maximum extent permitted by applicable law. To the extent that moral rights or equivalent rights in Feedback cannot be assigned or waived under applicable law, the licence granted in this Section operates as the primary operative mechanism in those jurisdictions. AMPL does not represent that any waiver of moral rights is effective beyond what local law permits.

4.5 Ownership of AI Inputs and Outputs.

  • User Content: As between you and AMPL, you maintain all core ownership rights in the underlying text prompts, files, and briefs you submit into the platform.
  • Assignment of Generated Outputs: Subject to your continuous compliance with these Terms and your active, timely payment of the $89.00 monthly subscription fee, AMPL hereby assigns to you all of its right, title, and interest (if any) in and to the specific text and informational Outputs generated for you by the AI features.
  • Scope of Rights: Any assignment, license, or waiver of moral rights concerning User Content or Feedback operates solely to the maximum extent permitted under the local consumer protection laws of your jurisdiction. AMPL explicitly negotiates its developer API commercial tiers to prohibit our infrastructure sub-processors from training public models on your inputs or outputs.

PART V: DISCLAIMERS, LIABILITY, AND INDEMNIFICATION

As used in this Part V and throughout these Terms: "Gross Negligence" means an act or omission that demonstrates a conscious indifference to the rights, welfare, or safety of others, manifesting a reckless disregard of consequences materially greater in degree than ordinary negligence. "Willful Misconduct" means an intentional act or deliberate omission undertaken with knowledge that it is wrongful or with conscious disregard of a known and substantial risk that harm is likely to result. These definitions apply throughout these Terms to the fullest extent permitted by applicable law.

5.1 Disclaimer of Warranties.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMPL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. AMPL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE

OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. AMPL DOES NOT WARRANT THE ACCURACY,

COMPLETENESS, OR SUITABILITY OF ANY OUTPUT GENERATED BY THE SERVICE.

Jurisdictional Qualifications. If you are a consumer located in the European Union or the United Kingdom, nothing in this Section excludes, restricts, or limits any warranty, guarantee, conformity right, statutory remedy, or consumer protection that cannot lawfully be excluded or limited under the law applicable to you, including rights under the EU Consumer Rights Directive (2011/83/EU), the EU Digital Content Directive (2019/770/EU), or the UK Consumer Rights Act 2015. The Service will conform to minimum statutory quality and fitness requirements applicable to consumer digital services under those instruments. AMPL's liability for failure to meet those statutory minimums is not excluded by this Section.

If you are a consumer located in California or New York, nothing in this Section limits any non-waivable consumer protection rights you hold under California Civil Code § 1770, California Business and Professions Code, New York General Business Law § 349, or other mandatory provisions of your state's law. The disclaimer above applies only to the fullest extent permitted by the law of your jurisdiction.

If you are a consumer in any other jurisdiction whose mandatory consumer protection law restricts or prohibits as-is warranty disclaimers, this Section applies only to the extent permitted by that law.

5.2 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AMPL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF AMPL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMPL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO AMPL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

5.3 Non-Excludable Liability. Nothing in these Terms excludes or limits AMPL's liability to the extent such exclusion or limitation is prohibited by applicable law, including liability for: (a)

AMPL's own Gross Negligence or Willful Misconduct; (b) fraud or fraudulent misrepresentation; (c) death or personal injury caused by negligence where such liability cannot be excluded; or (d) any other liability that cannot lawfully be excluded or limited under applicable law. All other exclusions and limitations in these Terms apply to the fullest extent permitted by applicable law.

5.4 Comprehensive User Indemnification Obligations. You agree to fully defend, indemnify, and hold harmless AMPL, its parent entity, affiliates, directors, officers, employees, agents, licensors, and third-party AI infrastructure sub-processors (collectively, the "Indemnified Parties") from and against any and all third-party claims, demands, losses, liabilities, damages, judgments, awards, costs, regulatory fines, penalties, expenses, and fees (including reasonable attorneys' fees and expert legal costs) arising out of, resulting from, or directly relating to:

  • (a) Platform Use and Output Reliance: Your access to or use of the Service, your interactions with the automated AI features, or your distribution or choice to rely on any machine-generated Outputs.
  • (b) Prohibited Data Submissions: Your transmission or upload of any User Content that violates the Strict Data Submission and Input Restrictions set forth in Section 2.11, including without limitation the unauthorized submission of Personally Identifiable Information (PII), Protected Health Information (PHI) under HIPAA, unmasked financial account data, or proprietary trade secrets and copyrighted third-party source code.
  • (c) Material Breach of Terms: Your breach or alleged breach of any warranty, covenant, restriction, or obligation contained within these Terms or AMPL’s integrated Privacy Policy.
  • (d) Third-Party Rights Violations: Your violation of any applicable federal, state, local, or international law, or your infringement of any intellectual property, privacy, publicity, or proprietary rights belonging to a third party.

5.4.1 Control of Defense. AMPL reserves the right, at your sole expense, to assume the exclusive defense and control of any legal matter otherwise subject to indemnification by you under this Section. In such event, you agree to fully cooperate with AMPL’s chosen legal counsel in asserting any available legal defenses, and you shall not settle any claim or consent to the entry of any judgment without AMPL’s prior express written authorization.

5.5 Essential Basis. You acknowledge that the limitations and exclusions of liability in this Part V reflect a reasonable allocation of risk between the parties and are an essential basis of the bargain between you and AMPL. AMPL would not provide the Service on the terms set out in these Terms without these limitations.

5.6 AI Output Disclaimer (Hallucinations and Accuracy). The Service generates automated machine-learning outputs ("Outputs") based on user prompts. AMPL does not verify, monitor, or guarantee the factual accuracy, complete timeliness, or reliability of any machine-generated text or analysis.

  • Nature of Output: Outputs may contain text fragments that are factually inaccurate, incomplete, or entirely misleading (commonly referred to as "AI hallucinations").
  • No Professional Advice: All platform Outputs are provided strictly for general personal learning and informational purposes. They do not constitute legal, medical, financial, tax, or professional advice. You agree never to rely on AI-generated data to make critical legal, life, or financial decisions without independent, human professional verification.
  • No Decisions of Legal Significance: Outputs are informational and do not constitute automated decision-making producing legal or similarly significant effects concerning any individual.

5.7 Complete Limitation of Liability for AI Operations. To the maximum extent permitted by applicable law, AMPL, its affiliates, and its third-party AI sub-processors shall have no liability to you under any theory of contract, tort, or statutory duty for damages resulting from: (a) your choice to rely on the accuracy, completeness, or usefulness of any AI-generated Output; (b) any connection timeouts, platform latency, system lag, background polling failures, or backend infrastructure downtime caused by third-party API providers; or (c) any account flags, extended logging metrics, or automated anti-abuse reviews performed by our third-party AI providers due to prompts that trigger their respective safety and content filters.

PART VI: PRIVACY AND DATA

6.1 Privacy Policy. AMPL's collection, use, storage, and disclosure of personal information are governed by the then-current SimulQ Privacy Policy, available at https://simulq.ai/privacy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read the Privacy Policy and consent to all actions taken by AMPL with respect to your information in compliance with it.

6.2 Data Security. AMPL implements reasonable administrative, technical, and organizational safeguards designed to protect personal information and User Content against unauthorized access, loss, destruction, alteration, or disclosure, consistent with industry standards applicable to web-delivered services. No method of transmission over the internet or method of electronic storage is completely secure. AMPL does not guarantee the absolute security of any data or User Content, and you acknowledge that you provide information at your own risk subject to the limits AMPL has accepted in these Terms.

6.3 Data Processing Location. The Service and associated data storage may be operated from servers located in the United States and, where applicable, other jurisdictions. By using the Service, you consent to the transfer, processing, and storage of your personal information in the United States and in such other jurisdictions, to the extent permitted by applicable law. Where applicable law requires additional safeguards for international data transfers, AMPL will apply such safeguards as described in the Privacy Policy.

6.4 Data Subject Rights. Depending on your jurisdiction, you may have rights with respect to your personal information, including rights to access, correct, delete, or restrict the processing of your data, to object to processing, or to request portability of your data. Instructions for exercising such rights are set out in the Privacy Policy. AMPL may require verification of your identity before processing any such request.

6.5 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify AMPL promptly at support@simulq.ai if you suspect or discover any unauthorized access to or use of your account. AMPL will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

PART VII: INTELLECTUAL PROPERTY

7.1 Ownership of Service. All right, title, and interest in and to the Service, including all underlying software, code, algorithms, models, interfaces, designs, text, graphics, trademarks, logos, and trade names (excluding User Content as defined in Section 4.1), are and will remain the exclusive property of AMPL and its licensors. The Service is protected by applicable copyright, trademark, trade secret, and other intellectual property laws of the United States and other jurisdictions. No rights in or to the Service are granted to you except the limited license expressly set forth in Section 2.2.

7.2 Trademarks. The SimulQ name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AMPL or its affiliates or licensors. You must not use any such mark without AMPL's prior written permission. All other trademarks, service marks, logos, and trade names appearing on the Service are the property of their respective owners.

7.3 Copyright Notice. The Service and all content made available through it, excluding User Content, are copyright © Alpin Management Partners Ltd Co. All rights reserved.

7.4 Feedback and IP. The rights and obligations governing Feedback, including the assignment of intellectual property rights in Feedback, are set forth in Section 4.4.

PART VIII: TERM AND TERMINATION

8.1 Term. These Terms are effective from your acceptance as described in Section 1.2 and remain in force for as long as you maintain an active account or subscription with AMPL.

8.2 Termination by User. You may terminate your account and subscription at any time through the Service's self-service account management portal or by contacting support@simulq.ai, subject to the cancellation terms in Section 3.5.

8.3 Termination by AMPL. AMPL may suspend or terminate your access to the Service, with or without notice as may be reasonable under the circumstances, for: (a) material breach of any provision of these Terms; (b) failure to maintain a valid payment method or failure to pay charges when due; (c) conduct that poses a security risk or potential harm to the Service, AMPL, other users, or any third party; or (d) as required by applicable law or an order of a competent authority.

8.4 Effect of Termination. Upon termination of your account or subscription for any reason: (a) your right to access and use the Service ceases immediately; (b) AMPL may delete your account and all associated data, except as required by applicable law or as described in Section 6.4; and (c) any accrued rights or obligations of either party as of the date of termination are not affected.

8.5 Survival. Part IV (Sections 4.4 and 4.5), Part V, Part VII, Sections 6.1 through 6.5, and Part IX survive termination of these Terms and continue in full force and effect, together with any other provision that by its nature should survive termination.

PART IX: GENERAL

9.1 Governing Law. These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. To the extent permitted by law, you submit to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas for any dispute arising out of these Terms or the Service.

9.2 Severability. If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

9.3 No Waiver. No waiver by AMPL of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AMPL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

9.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without AMPL's prior written consent. AMPL may assign its rights or obligations under these Terms to any affiliate, successor, or acquirer without restriction. Any purported assignment in violation of this Section is null and void.

9.5 Notices. AMPL may provide any notice to you under these Terms by: (a) posting a notice within the Service dashboard or main portal; (b) sending an email to the address associated with your account; or (c) any other reasonable means. Notices are effective when posted or sent. You are responsible for maintaining current contact information in your account.

9.6 Entire Agreement. These Terms, the Privacy Policy, and any documents expressly incorporated by reference constitute the entire agreement between you and AMPL regarding the Service and supersede all prior or contemporaneous understandings, representations, warranties, and agreements, whether written or oral, regarding its subject matter.

9.7 Force Majeure. AMPL is not liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, acts of government, civil unrest, acts of terrorism, labor disputes, technical failures of third-party infrastructure, or interruptions to or failure of internet service. AMPL will use commercially reasonable efforts to resume performance as soon as practicable.

9.8 Modifications to Terms. AMPL may revise and update these Terms from time to time. AMPL will provide advance notice of material changes by email to the address associated with your account or by posting conspicuous notice within the Service. By continuing to access or use the Service after revised Terms take effect, you agree to be bound by the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.

9.9 Execution and Electronic Signatures. Any agreement, acknowledgment, or consent required or permitted by these Terms may be delivered by electronic means, including by online click-through, electronic form submission, or other electronic signature method. Such electronic delivery constitutes a legally binding agreement or signature for all purposes to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Texas Uniform Electronic Transactions Act (Tex. Bus. & Com. Code Ch. 322).

9.10 Payment and Subscription Documents. The provisions of this Part IX shall be read together with and supplemented by the explicit terms of all executed payment authorizations, subscription enrollment records, automatic renewal disclosures, and any other subscription-related documentation provided by AMPL to you at the time of enrollment or thereafter, provided that such documentation does not contradict the express terms of these Terms. In the event of a direct conflict between such documentation and these Terms, the terms most protective of the User's statutory rights govern. Nothing in this Section displaces or modifies any other provision of this Part IX or any other part of these Terms.

9.11 Printability. AMPL will make these Terms and all documentation expressly incorporated by reference available in a format suitable for printing on 8½ × 11 inch paper. You may print or download a copy of these Terms at any time for your personal records.

9.12 No Third-Party Beneficiaries. Except as expressly stated in these Terms, no provision of these Terms confers any right or remedy on any person other than you and AMPL.

9.13 Headings. Section and paragraph headings in these Terms are for convenience of reference only and do not affect the construction or interpretation of any provision.

9.14 Contact. For questions about these Terms or the Service, contact AMPL at support@simulq.ai.
